Policy
Contract Expiration Policy
1. Commitment to the Agreement
Any client, artist, or contractor who enters into a deal, agreement, or production contract with Joseph Brooks or Red Velvet Studios must remain committed to completing the project. By signing an agreement, the client acknowledges that they are entering into an active working relationship intended to move the project toward completion. The progress of the project depends on timely collaboration between both parties.
2. For example, if an artist signs a contract for song production at a specific price, that agreement reflects the studio’s pricing and availability at the time the deal was made. If a client signs an agreement but does not return, schedule sessions, or communicate with the studio for an extended period of time, the agreement cannot be revisited months or years later in order to claim the same pricing or terms that were originally offered. Agreements are intended to begin active work within a reasonable time after signing.
Client Participation Responsibilities
The client is responsible for actively participating in the project. This includes, but is not limited to:
• Communicating with the studio regarding the project
• Scheduling studio sessions
• Attending scheduled sessions
• Providing vocals, lyrics, recordings, files, or other required materials
• Providing feedback and making creative decisions or approvals required to complete the production
Failure to participate in these responsibilities may delay or prevent completion of the project.
Responsibility to Schedule Sessions
The client is responsible for contacting the studio to schedule sessions and coordinate their participation. The studio is not responsible for managing the client’s personal schedule, reminding the client to book sessions, or ensuring that the client appears for sessions.
3. Availability for Production Work
By signing a contract or agreement, the client confirms that they have adequate availability to participate in the production process. If the client’s personal schedule prevents them from attending sessions or contributing to the project, that responsibility lies solely with the client. Any changes to the project timeline caused by the client’s availability are the responsibility of the client.
4. Timeline Responsibility
If the project timeline is delayed due to the client’s lack of availability, failure to schedule sessions, failure to attend sessions, or failure to provide required materials, feedback, or approvals, such delays are not the responsibility of the studio.
Client timelines may also be affected by personal circumstances including, but not limited to:
• Work schedule conflicts
• Personal events or obligations
• Family responsibilities
• Vacations or travel
• Extended periods of unavailability
• Health issues
• Loss of employment or financial changes
• Relocation or moving
• Failure to respond to communication
• Failure to provide required materials or creative approvals
While the studio understands that these circumstances may occur, extended delays caused by such circumstances may prevent the project from progressing.
5. Requirement to Begin Sessions
The client must schedule and attend their first production or recording session within three (3) months of signing the agreement. If no session has occurred within this time period, the agreement may be considered inactive.
6. Minimum Participation Requirement
To maintain an active agreement, the client must participate in at least one (1) production session per month unless otherwise agreed to in writing. Failure to maintain this minimum participation may result in the project being classified as inactive.
7. Inactivity Period
If the client does not schedule sessions, communicate with the studio, or participate in the project for a prolonged period of time, including several months or up to six (6) consecutive months, the project may be considered inactive.
8. Contract Expiration Due to Inactivity
If the client remains inactive for six (6) consecutive months from the date of signing the agreement or from the last recorded project activity, the agreement will be considered expired due to inactivity.
9. Contract Duration and Pricing Validity
Signing an agreement with the studio does not guarantee that the quoted pricing, services, or terms will remain available indefinitely. All contracts reflect the studio’s pricing, availability, and operational capacity at the time the agreement is signed, and these conditions may change over time as the business evolves.
For this reason, the pricing and terms outlined in any agreement are valid only for the duration of that contract. Agreements are not open-ended and may not be recalled or enforced at a later date in an attempt to obtain outdated pricing or services that were previously offered.
All contracts are valid for a maximum period of nine (9) months from the date of signing. After this period, the agreement is considered expired regardless of project status. Once expired, the prior agreement, pricing, and terms are no longer valid. Any continuation of work or services must be established under a new agreement reflecting the studio’s current pricing, terms, and availability.
10. Forfeiture of Deposit
If the contract expires due to inactivity, any deposit previously paid toward the project will be forfeited and is non-refundable.
11. Invalidation of Previous Agreement Terms
Once a contract expires due to inactivity, the original agreement, pricing, deal terms, and services are no longer valid or enforceable.
12. Requirement for a New Agreement
If the client wishes to restart or continue the project after the contract has expired, the client must sign a new agreement under the studio’s current terms, pricing, and availability. A new deposit will be required, and the previous contract and deposit will not carry over.
13. Project Start and Client Availability
Upon signing an agreement, the client acknowledges that the project timeline begins on the date the contract is executed. The client must be prepared to begin the production process promptly and actively participate from the start of the project.
This includes making themselves reasonably available for recording sessions, production work, songwriting sessions, meetings, and other scheduled activities related to the project. The client is responsible for contributing their required creative input, completing their performance responsibilities, and maintaining clear and timely communication so that the production process can move forward efficiently.
Purpose of This Policy
This policy ensures that studio time, resources, and production services remain available for clients who are actively committed to completing their projects in a timely and professional manner.
